Markets Show Weakness, but Bulls Continue to Buy

For the second day in a row, the Dow Jones Industrial Average (DJINDICES: ^DJI  ) began the day down. Yesterday, the index dropped 127 points before closing the day down just 12. Today, it fell 95 points, but managed to close higher by 8.6 points. The morning dips have given those investors who have missed out on the market rally a chance to buy stocks, and hopefully make positive returns. These moves show two things: one, we're seeing some signs of weakness in the markets, and two, despite that, there are still investors willing to buy, which means stocks could continue to go higher.

Regardless of what the markets do, in general, if you continue to buy and hold strong healthy companies, over the next few years, you'll be better off -- even if the market falls in the coming months.

A few Dow losers
Verizon (NYSE: VZ  ) lost 0.96% today on very little news. But, the stock has now traded lower during four of the past five trading sessions, and with talks of a Sprint Nextel take over buy Dish Network again circling the markets this week, short-term investors could be bailing on the wireless provider due to fears that a stronger Sprint could pose a threat to Verizon's business. A combined Sprint-Dish combo would definitely threaten Verizon's Fios as well as other offerings and service packages.

Despite releasing the specs of its newest chip, shares of Intel (NASDAQ: INTC  ) lost 0.53% during today's regular trading hours. Investors and analysts may not be totally sold on the new Haswell chip line, which is supposed to consume 50% less energy when in "active" mode, and two to three times the battery life in "idle" mode than the Core chips. In the past, we have seen Intel attempt to become more relevant in the mobile chip market, but the company has yet to make any meaningful impact, which is likely the reason investors are not giving Intel the benefit of the doubt today. 

Shares of General Electric (NYSE: GE  ) also lost value today, losing 0.55%. Similar to Caterpillar, which I wrote about earlier today, General Electric was expected to rise today on news that manufactured goods orders rose 3.3%, but it was likely just pulled lower by the momentum of the market as a whole. Additionally, volume was slightly higher than usual at 41,000,000 shares trading hands, while the norm is only 38,900,000. What's even odder about today's loss is that initially, when the market opened, the stock was way down, but almost immediately spiked higher, just to fall back down again. Morgan Housel wrote earlier today about how American Electric Power and NextEra Energy experienced flash crashes yesterday when the market opened; perhaps General Electric's move this morning was the result of similar computer trading programs.

Total has indicated that its engineers will need to evaluate the prospects before any decision is made on payments. So the deal could be worth zero to IOC, and based on the company’s poor track record over the years in actually booking reserves many investors decided it was time to exit when it became clear that IOC’s spin on the deal was much different than Total’s. Shares fell 21 percent in pre-market trading on the day of the announcement, and are now down about 40 percent since the Total news hit.

Worst Charities? Or Victims of an Indifferent Public?

One is to look at the percentage of the money they raise that actually goes to their programs. That's what the Tampa Bay Times, working with the Center for Investigative Reporting, did in an annual roundup called America's Worst Charities, "ranked by money blown on soliciting costs." And the numbers, taken alone, are impressive. At the top of the list are organizations that raise tens of millions and spend nearly all of it on fundraising. The few charities that responded to DailyFinance requests for comments said that the system of getting money from donors to charities is broken and that the reporters made some questionable assumptions about what the organizations do and how they operate. The Times and CIR said they ran their methodology for identifying questionable nonprofits past a panel of experts, who reportedly called it "sound." "We focused on these charities because relying heavily on for-profit fundraisers is one of the most inefficient ways to collect donations," the two news organizations wrote. "Regulators and industry experts widely consider the practice a red flag for bad charities." And in some cases, the numbers might raise eyebrows, as the top five groups on the list showed: The Kids Wish Network, which brought in $137.9 million according to 10 years of federal tax files, paid 84 percent to fundraisers and spent only 2.5 percent on direct cash aid. Cancer Fund of America raised $86.8 million, paid $75.4 million to for-profit solicitors, and put 1 percent into direct cash aid. Children's Wish Foundation International raised $92.7 million, spent two-thirds on solicitors, and put 10.6 percent into direct aid. Roughly 87 percent of the $53.8 million that the Firefighters Charitable Foundation raised went to solicitation costs, while only 7.4 percent became cash aid. The International Union of Police Associations, AFL-CIO dropped more than three quarters of its $66.6 million over 10 years on solicitation, compared to 0.5 percent on cash aid. What's the Real Goal? None of these organizations responded to requests from DailyFinance for comment. But others that did were angry about the story and the approach the reporters took. National Veterans Services Fund (formerly Vietnam Veterans Agent Orange Victims), raised $70.2 million, paying almost 53 percent to professional fundraisers and 7.8 percent into direct financial aid. Executive Director Phil Kraft says that the organization provides some one-time cash assistance to veterans who are referred to the organization from "VA caseworkers, social workers from state and local municipalities and veteran agencies." But the fund is primarily focused on providing services, including a national hotline for veterans and their families, a repository of free information, partnerships that get services and equipment at reduced or no cost to needy families and peer counselors. To focus on cash aid is to potentially misconstrue the group. "We do not have the resources, staff or expertise to conduct fundraising on our own," Kraft wrote about the fund, which has one full-time and three part-time employees, in addition to Kraft, whose 2011 salary was $118,800. "A small percentage of something is better than 100 percent of nothing. To blame a charity for the price charged by our fundraisers is like blaming a driver for the price of gas. I suppose that a driver could make his own gas from donated crude oil, and have a staff of volunteers to help refine it, and more volunteers to transport it to volunteer-run gas stations, but it probably wouldn't work. " The Committee for Missing Children spent $23.5 million on fundraisers to bring in $26.6 million , with only 0.8 percent of funds going to direct cash aid. CEO David Thelen, his wife and a director in Germany received a combined $144,851 in 2011 as the three paid employees, and the German director has just been put on a volunteer basis. Thelen agrees that telemarketing is an inefficient way to raise money, but for smaller and less popular charities, it may be the only choice. His organization has had no luck with getting grants and "addressing child abduction is not something corporate America will step up and support." Unlike the better-known National Center for Missing and Exploited Children, which receives funding from the federal government, the Committee for Missing Children has no such income streams and doesn't have the high profile to help attract donors. That leaves expensive methods like telemarketing and direct mail. Is Anyone Getting Rich? And it's not as though the telemarketers are pocketing vast sums, because fielding calls is expensive. Thelen was told by his telemarketer -- which actually filed for bankruptcy last year -- that its profit margin was 3 percent. He was also angry that the article focused on cash paid out, rather than services offered. "My job is to counsel parents and lead them through a broken system to get their children back home," he said, which can involve taking calls at 2 a.m. "Where do you put that in a budget?" Not all the charities on the list are innocent organizations, as some note. "Many of the charities cited in the article display blatant misuse of funds, such as exorbitant salaries, creating related companies for the financial benefit of the founders, etc.," Kristina Vincent, membership and benefits administrator for the American Association of State Troopers, told DailyFinance. The group spent $38.6 million to bring in $48.1 million, and 8.9 percent went to direct cash aid. But Vincent said that the organization runs lean. "All officers and board members of AAST are unpaid volunteers," she wrote. "AAST has no company vehicles. Our small staff and our board of directors work hard to provide quality benefits and excellent customer service, and we are appalled to be lumped into a category with charities who, according to the Worst Charities article, mishandle funds." People who donate money to charities naturally have an interest in seeing the funds used as wisely as possible. But it takes research, and a harsh dose of reality, to understand whether a charity is "bad," or if it's struggling against significant odds to do at least some good. More from Erik Sherman

McClendon leveraged the company's future with debt, intertwined his personal finances with the company's, and engineered a land-buying program that received significant amounts of bad press topped off with negative portrayal of the industry in Matt Damon's movie, "Promised Land." The result has been a nearly 40% slide in Chesapeake Energy stock over the past two years.

Natural gas on the rise
Despite the bad press, the overall position of the natural gas industry has never looked more promising. Companies ranging from Clean Energy Fuels (NASDAQ: CLNE  ) to Berkshire Hathaway (NYSE: BRK-A  ) are beginning to initiate programs that rely heavily on natural gas. In the case of Clean Energy, the company is undertaking a major push to create a corridor of liquefied natural gas, or LNG, filling stations across the country to allow trucks to carry freight on LNG power rather than diesel. This type of transition is likely to eventually trickle down to passenger vehicles, which currently are not fully viable as an LNG alternative. While Chesapeake Energy stock once benefited from the company's partial ownership of Clean Energy, that stake is likely to be sold to help meet debt obligations.

It sells its residue gas either directly to such end users or to marketers into intrastate or interstate pipelines. The Field Gathering and Processing segment gathers and processes natural gas from the Permian Basin in West Texas and Southeast New Mexico and the Fort Worth Basin, including the Barnett Shale, in North Texas. The Field Gathering and Processing segment�� operations consist of the Permian Business, Versado, SAOU and the North Texas System. The Permian Business consists of the Sand Hills gathering and processing system and the West Seminole and Puckett gathering systems in West Texas. These systems consist of approximately 1,400 miles of natural gas gathering pipelines. Versado consists of the Saunders, Eunice and Monument gas processing plants and related gathering systems in Southeastern New Mexico. Versado consists of approximately 3,200 miles of natural gas gathering pipelines. Covering portions of 10 counties and approximately 4,000 square miles in West Texas, SAOU includes approximately 1,667 miles of pipelines in the Permian Basin that gather natural gas to the Mertzon, Sterling, and Conger processing plants. SAOU has 31 compressor stations to inject low pressure gas into the high-pressure pipelines.

The North Texas System includes two interconnected gathering systems with approximately 4,200 miles of pipelines, covering portions of 15 counties and approximately 5,700 square miles, gathering wellhead natural gas for the Chico and Shackelford natural gas processing facilities. The Chico gathering system consists of approximately 2,100 miles of primarily low-pressure gathering pipelines. Wellhead natural gas is either gathered for the Chico plant located in Wise County, Texas, and then compressed for processing, or it is compressed in the field at numerous compressor stations and then moved through one of several gathering pipelines to the Chico plant. Its Coastal Gathering and Processing segment assets are located in the onshore region of the Louisiana Gulf Coast and the Gulf of Mexico. LOU consists of approximately 875 miles of gathering system pipelines, covering approximately 3,800 ! square mi! les in Southwest Louisiana. The gathering system is connected to numerous producing wells and/or central delivery points in the area between Lafayette and Lake Charles, Louisiana. The processing facilities include the Gillis and Acadia processing plants, both of which are cryogenic plants.

Logistics and Marketing Division

The Company includes the activities necessary to convert mixed NGLs into NGL products and provide certain value added services, such as the fractionation, storage, terminaling, transportation, distribution and marketing of NGLs, as well as certain natural gas supply and marketing activities in support of its other businesses. Its Logistics Assets Segment uses its platform of integrated assets to receive, fractionate, store, treat, transport and deliver NGLs typically under fee-based arrangements. Its logistics assets are connected to and supplied in part by its Natural Gas Gathering and Processing assets and are primarily located at Mont Belvieu and Galena Park near Houston, Texas and in Lake Charles, Louisiana. Across the Logistics Assets segment, it owns or operates a total of 39 storage wells at its facilities with a net storage capacity of approximately 64 million barrels of oil (MMBbl), the usage of which may be limited by brine handling capacity, which is utilized to displace NGLs from storage. It operates its storage and terminaling facilities based on the needs and requirements of its customers. The Company markets its own NGL production and also purchases component NGL products from other NGL producers and marketers for resale. During 2011, the Company�� distribution and marketing services business sold an average of approximately 273 MBbl/d of NGLs. Its wholesale propane marketing operations primarily sell propane and related logistics services to multi-state retailer! s, indepe! ndent retailers and other end-users. Its propane supply primarily originates from both its refinery/gas supply contracts and its other owned or managed logistics and marketing assets. In its refinery services business, the Company provide NGL balancing services through contractual arrangements with refiners to purchase and/or market propane and to supply butanes. It uses commercial transportation assets and contract for and use the storage, transportation and distribution assets included in its Logistics Assets segment to assist refinery customers in managing their NGL product demand and production schedules.

The Company�� NGL transportation and distribution infrastructure includes a range of assets supporting both third-party customers and the delivery requirements of its marketing and asset management business. It provides fee-based transportation services to refineries and petrochemical companies throughout the Gulf Coast area. As of December 31, 2011, its transportation assets include approximately 565 railcars that it lease and manage; approximately 74 owned and leased transport tractors and approximately 100 company owned tank trailers, and 18 company owned pressurized NGL barges.

    The technology of fracturing (and the horizontal style of drilling), is changing America's needs on the energy front. At the epicenter of this infrastructure build-out is Atlas Pipeline Partners (NYSE:APL), a midstream gathering and processing company that trades as a Master Limited Partnership, (MLP). Atlas Pipeline is essentially a middle man between the drillers and long-haul transportation pipelines. It gathers mixed volumes of natural gas and natural gas liquids (NGLs) such as ethane, propane, and butanes, etc. from the thousands of wells drilled by its drilling customers, back through pipelines to its processing plants, which will separate the gas from the NGLs. Both are then sold to long-haul transportation pipelines, which take the two products downstream to the next part of the energy supply chain.

    CYNK Technology (CYNK), the mysterious over-the-counter stock that at one point broke a $6 billion market cap, dropped roughly 80 percent in its first trades after a Securities and Exchange Commission halt. The SEC halted CYNK for two weeks following a massive rise in the stock's value -- it had been worth only a few cents per share in June, but it jumped above $21 on July 10. The Belize-based CYNK Technology supposedly operates a social networking site, but filings indicate it only has one employee and virtually no assets. Experts told CNBC the week of the SEC halt that they expected CYNK to fall precipitously after reopening, and its first day of trading is proving those predictions correct. When it was halted, the stock was worth just less than $14 per share, and is now below $3 a share after briefly hovering around $5 earlier Friday morning. An OTC Markets spokeswoman told Reuters that CYNK's shares were not trading on its platform, but were occurring over the phone. Earlier this week Reuters reported that OTC's CEO did not expect CYNK to trade on its platform at all after reopening, as no brokerages would file the required paperwork for the stock to trade on their exchanges. An SEC spokesman said that the organization cannot comment on the status of a company after a suspension period ends, citing an online explanation of the process. That document notes that broker-dealers may not solicit investors to trade the previously suspended OTC stock until they satisfy several regulatory requirements. The SEC warned, however, that "unsolicited" trading may occur after a reopening -- as CYNK is now seeing -- but "even though such trading is allowed, it can be very risky for investors without current and reliable information about the company."

YieldCos: The Pseudo-MLP

The Master Limited Partnerships Parity Act (MLPPA) seeking to extend the MLP tax break to renewable energy technologies continues to gather dust in committee with long odds of passage.

But commerce hates roadblocks, and suppliers of renewable energy have found another way to attract yield-oriented investors.

Enter the financial instrument known as a YieldCo. As the name suggests, YieldCos are investment vehicles spun off with income-generating assets to provide a predictable tax-deferred yield in exchange for cheap equity capital. They differ from MLPs in that they are not automatically exempted from the corporate income tax, but accelerated depreciation provisions of the tax code and other tax breaks offered to renewable power producers mean that they are able to report net losses for five years at least, while paying out positive cash flow to investors via dividends that will be classified as a return of capital.

With YieldCos, distributions are treated as dividends under US tax law to the extent they are paid out of current or accumulated earnings. If dividends are paid out in excess of current and accumulated earnings for a taxable year, the excess cash payments would be treated as a return of capital for US federal income tax purposes. This would reduce the adjusted tax basis of the shares, and any balance in excess of adjusted basis would be treated as a gain for US federal income tax purposes.

Internal Revenue Code Section 7704 states that at least 90 percent of an MLP's income must come from qualified sources, such as real estate or natural resources. Section 613 of the tax code requires qualifying energy sources to be depletable resources or their derivatives such as crude oil, petroleum products, natural gas and coal. But since YieldCos are not MLPs they are not subject to these limitations.

Early returns suggest this proposition is generating plenty of enthusiasm. When NRG Ener! gy (NYSE: NRGY) became the first company to spin off a YieldCo subsidiary holding solar generating assets last July, the offering price for NRG Yield (NYSE: NYLD) provided for a 5.5 percent yield at the promised dividend rate. The IPO was more than 10 times oversubscribed — an indication of pent up investor demand for such offerings. Less than 11 months later, NYLD’s share price has more than doubled, so even though it has already raised its dividend the yield is down to 2.7 percent.

Two YieldCos stuffed with wind and hydropower projects debuted in NYLD’s wake last year. TransAlta Renewables (TSE: RNW) listed on the Toronto Stock Exchange in August at an initial price of $10 Canadian a share and a projected dividend yield of 7.5 percent. The company owns 16 wind facilities and 12 hydroelectric facilities. The share price has since risen to $11.39 and the yield has fallen to 6.8 percent.

Pattern Energy Group (NASDAQ: PEGI, TSE: PEG) listed simultaneously on the NASDAQ and Toronto Stock Exchange last September with a projected dividend yield of 6.25 percent. The company owns interests in eight wind power projects located in the United States, Canada and Chile. The share price has since risen by 33 percent, and the yield has dropped to 4.2 percent.

Now comes a second YieldCo to include solar assets, from Spain’s Abengoa (NASDAQ: ABGB). Abengoa Yield (NASDAQ: ABY) owns two newly constructed concentrating solar power plants in the US (in California and Arizona), as well as two smaller ones in Spain. Other assets include a wind farm in Uruguay, a fossil fuel cogeneration plant in Mexico and electric transmission lines in Peru and Chile, along with an equity investment in a transmission venture in Brazil.

Abengoa Yield opened for the first time last Friday at $29 and closed up 27.6 percent on the day. It pegs its initial dividend rate at an annualized $1.04, for a 2.8 percent yield based on Friday's close.

There are risks for YieldCos. The start! ing yield! s are low, and therefore subject to losing much of their current appeal should interest rates meaningfully rise, as they ultimately will. And while energy MLPs have a full and indefinite shield against the corporate income tax, YieldCos can only shield income to the extent they can carry forward net operating losses, which will largely depend on their ability to keep growing so that new projects provide additional depreciation.

This matters because solar is a relatively new, dynamic and technology-dependent industry, and as such is subject to dramatic changes in the economic and competitive landscape. It’s also sensitive to changes in public policy, notably in relation to the looming expiration in 2016 of the production and investment tax credits for renewable projects. So while it’s true that fixed-rate 20-years solar power purchase agreements provide excellent revenue protection, only continued growth will maintain the tax shield on the distributions.

Williams Buys the Pot

There’s nothing like buying your way out of problems and immediately getting the purchase price tacked on to the value of your equity.

That's the neat trick Williams (NYSE: WMB) pulled off today in converting its equity investment in Access Midstream Partners (NYSE: ACMP) into full control that will allow it to use ACMP's surplus  cash flow to offset the deficit at its fully sponsored Williams Partners (NYSE: WPZ) MLP, which is to be folded into Access. Williams shareholders get stepped up dividend growth and strategic control of valuable assets.

With the stock recently up nearly 19 percent on the deal news, subscribers who acted on our Oct. 12 buy recommendation promptly have now seen a total return of 60 percent. And at least two analysts following Will! iams have! opined in the deal's wake that there's room for more, since the stock continues to offer a yield above that of other MLP general partners.

As part of the deal announcement, the company said it would increase its third-quarter dividend to 56 cents a share, up 32 percent from a year ago and good for an annualized yield of 4 percent at the recent share price of $56. From there the dividend would increase another 10 percent next year, and an additional 15 percent a year in 2016-17. Limited partners have been promised annual distribution growth of 10 to 12 percent through 2017, starting with a 25 percent increase per unit next year over what Access was forecasting on a standalone basis.

How will Williams afford this everyone-wins bonanza? Well, the restart of its Geismar, Louisiana olefins petrochemical plant following a deadly blast almost exactly a year ago will surely help. Production there is expected to resume in August, a month behind the previous schedule, and the additional costs associated with the delay were "primarily" to blame, the company said, for the 10 percent cut it made to the Williams Partners distributable cash flow forecast for 2014. That would have left Williams with a distributable cash flow deficit of 11 percent relative to the forecast Williams Partners distributions.

And that deficit could have grown, and still may, with insurers "recently rais(ing) questions" over Williams' Geismar claim and withholding the bulk of the $200 million sought by the company in its most recent claim. (They did pay out $50 million, boosting Williams' receipts on its claims to $225 million out of the $500 million in forecast insurance proceeds.)

But Access also has a crucial role to play in covering the distribution gap, most immediately because Williams will be able to reduce its rich 1.38x distribution coverage ratio. Over the longer-term, Access is expected to enjoy rapid growth in demand for its gathering and processing services in the Marcellus, Utica and Eagl! e Ford, a! mong other shale basins, complementing Williams' gathering assets and its extensive distribution system spanning the Eastern seaboard and the Gulf coast.

Williams said equity sales would finance half of the $6 billion purchase price, which also covers enough Access limited partner units to give Williams a 50 percent stake and ensure approval for its planned MLP merger. The remaining half would come from long-term debt, revolving credit line and some $1 billion of cash on hand. Williams plans to subsequently drop down more of its directly owned assets to the MLP to repay some of the borrowing on the revolver.

Not typically mentioned in those comparisons of Williams to other GP stocks is that few are already as heavily leveraged, with the company's nearly $13 billion in debt working out to more than 5 times its trailing annual EBITDA.

We're every bit as excited about growth opportunities at Williams as we were when we called it our #5 Best Buy with an increased buying limit in March. But today's action certainly limits the scope of future appreciation. Given the magnitude of the gain, a drop from these levels below our prior buy limit of $46 would no longer constitute an immediate buying opportunity. As such, we're downgrading WMB to a Hold. But we wouldn't be in any rush to sell it.
